END USER LICENSE AGREEMENT (EULA) - INVESTIGATOR PROFESSIONAL
Version 1.0 - Effective August 27, 2026

This End User License Agreement is between Tervalum Systems (Licensor) and the person or organization using Investigator Professional (Software). By selecting Accept, installing, launching, accessing, or using the Software, you agree to this Agreement. If you do not agree, do not use the Software.

1. LICENSE GRANT
Subject to the license you purchased and your compliance with this Agreement, Licensor grants you a limited, non-exclusive, non-sublicensable license to install and use the Software for lawful professional or business purposes on devices under your control. The Software is licensed, not sold.

2. OWNERSHIP AND RESTRICTIONS
Licensor retains all right, title, and interest in the Software and related intellectual property. You may make reasonable backup copies but may not distribute, rent, lease, sublicense, resell, publish, or provide the Software as a hosted service without written permission. You may not bypass license or security controls. You may not reverse engineer, decompile, or disassemble the Software except to the limited extent such restriction is prohibited by applicable law.

3. INVESTIGATION DATA AND PROFESSIONAL RESPONSIBILITY
The Software is a case-management tool. You are solely responsible for ensuring that your investigations, collection and use of information, surveillance or research activities, notices, consents, retention practices, disclosures, and evidence handling comply with all applicable laws, court rules, contractual duties, licensing requirements, and professional standards. You are responsible for verifying facts, maintaining appropriate chain-of-custody procedures, protecting confidential or personal information, and making adequate backups. The Software does not provide legal advice and does not guarantee that information or evidence will be admissible, complete, accurate, or sufficient for any proceeding or decision.

4. DATA STORAGE, UPDATES, AND THIRD-PARTY COMPONENTS
The desktop edition stores application data locally unless a feature expressly states otherwise. You are responsible for device security, backups, retention, and recovery. Licensor may provide updates, corrections, or new versions. Some functionality may rely on Windows or third-party components that are governed by their own terms.

5. DISCLAIMER OF WARRANTIES
To the maximum extent permitted by law, the Software is provided AS IS and AS AVAILABLE, without warranties of any kind, express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or error-free operation. Mandatory rights that cannot lawfully be excluded remain unaffected.

6. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Licensor will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, business, goodwill, evidence, or data, arising from or related to the Software. To the extent liability cannot be excluded, Licensor's aggregate liability relating to the Software will not exceed the amount you paid for the Software giving rise to the claim. These limitations do not apply where prohibited by law.

7. TERMINATION
This Agreement remains effective until terminated. Your license terminates if you materially breach this Agreement and fail to cure the breach where cure is legally required. Upon termination, you must stop using and distributing copies of the Software, subject to any rights that applicable law requires to survive.

8. GENERAL TERMS
If any provision is unenforceable, the remaining provisions remain in effect and the invalid provision will be limited to the minimum extent necessary. Failure to enforce a provision is not a waiver. This Agreement, together with any written purchase or license terms applicable to your copy, is the entire agreement concerning your use of the Software. Nothing in this Agreement limits non-waivable consumer, statutory, or other mandatory rights.
